Terms of Use

Last Modified: 3 November 2026

These Terms of Use (the “Terms”) are a binding agreement between you and Rekwiem (business registration no. 357-58-01022) (“UptimeX”, “we”, “us”). They govern your use of the UptimeX website, dashboard, mobile apps, API, MCP server, status pages, and monitoring service (together, the “Service”). By creating an account or using the Service you accept these Terms, the Privacy Policy, the Refund Policy, and the Cookie Policy. If you do not agree, do not use the Service.

1. Who you are dealing with

  • Operator: Rekwiem, Republic of Korea.
  • Business registration no.: 357-58-01022.
  • Representative: SeungMin Lee.
  • Email: support@uptimex.co (this is also our address for legal notices and support).

Web subscriptions are sold through our reseller: our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our web orders. Paddle provides all customer service inquiries about payment and handles refunds for those orders. App subscriptions bought on iOS are sold by Apple, and on Android by Google, under their store terms.

2. Definitions

  • “Account” means the account you register, including guest accounts created in the app before you sign up.
  • “Project” means a workspace in your Account that holds monitors, channels, status pages, and members.
  • “Member” means anyone you invite to a Project; you are responsible for their use.
  • “Content” means everything you put into or generate through the Service: monitor names, targets, settings, channel URLs, status page text, and the results and history the Service produces for you.
  • “Target” means any website, endpoint, host, port, DNS name, or job you configure UptimeX to check.
  • “Plan” means the Free, Pro, or Team tier and the limits published on the pricing page.
  • “Documentation” means the guides and reference material we publish for the Service.

3. Eligibility and your Account

  • You must be at least 14 and have the capacity to enter a contract where you live. If you use the Service for a company, you confirm you are authorised to bind it.
  • Keep your registration details accurate and your credentials and API tokens secret. Everything done through your Account or tokens is treated as done by you.
  • Guest accounts exist only on the app, have no password or email, and are deleted automatically 30 days after their last device is removed. Sign up to keep your data.
  • Tell us at support@uptimex.co as soon as you suspect unauthorised use of your Account.

4. Plans, limits, and changes to plans

  • Each Plan has limits: number of monitors and projects, minimum check interval, history retention, members, status pages and custom domains, email alerts, and API rate. The current limits are on the pricing page and form part of these Terms.
  • The Free Plan is provided as-is and may be changed or withdrawn with notice.
  • If your Plan is downgraded or a subscription ends, we do not delete your Content. Monitors, members, or features beyond the new Plan’s limits are paused until you reduce them or upgrade again; paused monitors keep their configuration.
  • We may change Plan limits. Changes that reduce what a paid Plan includes take effect at your next renewal after at least 30 days’ notice.

5. Subscriptions, fees, and payment

  • Paid Plans are billed in advance, monthly or yearly, and renew automatically for the same period until you cancel. The price, period, and taxes are shown before you confirm a purchase.
  • Web purchases are processed by Paddle as merchant of record; your receipt and invoice come from Paddle, and the charge appears under Paddle’s name. App purchases are processed by Apple or Google and are subject to their terms.
  • By subscribing you authorise the applicable provider to charge your payment method for each renewal, including taxes, until you cancel.
  • Prices are shown inclusive or exclusive of VAT and sales tax depending on your country, as displayed at checkout. You are responsible for taxes other than taxes on our income.
  • If a renewal payment fails, the provider may retry it; if it still fails, your Plan reverts to Free and the limits above apply.
  • Cancellation stops future renewals and takes effect at the end of the current billing period. You keep paid features until then. Cancel web subscriptions in the Billing section of your account settings in the dashboard, where you can also undo the cancellation before the period ends, or through the Paddle link in your receipt; cancel app subscriptions in your Apple or Google account settings.
  • Moving a web subscription to a higher Plan takes effect immediately: the difference for the rest of the current billing period is charged at that time, prorated, and the new price applies in full from the next renewal.
  • We may change prices with at least 30 days’ notice by email; the new price applies from your next renewal after the notice period unless you cancel first.
  • A subscription bought on one platform unlocks the same Plan on the others while it is active.

6. Refunds and withdrawal

Refunds and your statutory right to withdraw from a purchase are set out in the Refund Policy, which forms part of these Terms. In short: new web subscriptions can be refunded within 14 days of purchase; renewals are refundable only in the cases listed there; Apple handles refunds for iOS purchases; Google Play purchases follow Google’s 48-hour rule and then our policy. Nothing in these Terms limits the rights you have as a consumer under the Act on the Consumer Protection in Electronic Commerce or the consumer laws where you live.

7. Acceptable use

You agree not to, and not to let anyone using your Account:

  • Monitor a Target you do not own or do not have permission to monitor. You alone are responsible for having that permission.
  • Use the Service to overload, probe, or attack any Target, to evade its rate limits or security controls, or to configure checks whose frequency or volume is meant to burden rather than monitor it.
  • Publish a status page or custom domain for a service you do not operate, or use a domain you do not control.
  • Send alerts to a channel or webhook you are not authorised to use.
  • Reverse engineer, scrape, resell, or offer the Service to third parties as your own, or circumvent Plan limits, rate limits, or token scopes.
  • Upload or transmit unlawful, infringing, or malicious content, or enter other people’s personal data where the Service does not call for it.
  • Interfere with the Service or attempt unauthorised access to it or to other users’ Accounts.
  • Use the Service in breach of any law, including export control and sanctions laws.

We may pause or remove a monitor, status page, channel, or token that appears to breach this section, and we may suspend the Account for serious or repeated breaches.

8. Teams and invitations

  • A Project owner can invite Members by email on Plans that include seats. Invitations go to the address you enter; make sure it is right.
  • Members act under the role you give them. The owner is responsible for what Members do in the Project and for removing them when they leave.
  • The audit log of a Project belongs to the owner. Entries for actions a Member took stay in the owner’s log after the Member leaves, for the owner’s retention window, as described in the Privacy Policy.

9. API, tokens, and the MCP server

  • API tokens are scoped to one Project and are shown once. Store them securely, rotate them if exposed, and revoke them when no longer needed.
  • Use of the API and MCP server is subject to the rate limits of your Plan. We may throttle or block traffic that exceeds them or that threatens the stability or security of the Service.
  • We may change or retire API endpoints with reasonable notice through the Documentation; we aim not to break documented endpoints without a migration path.

10. Alerts, integrations, and third-party services

Alerts are delivered through third parties you choose or we rely on: email, push (Apple and Google), Slack, Discord, and webhooks. We send to the channel you configured and are not responsible for a third party’s delay, outage, or terms. Your use of Slack, Discord, Apple, Google, or Paddle is also governed by their terms.

11. Your Content

You keep all rights to your Content. You grant us the right to host, process, transmit, and display it only as needed to provide the Service to you and your Members, and to publish the parts you choose to put on a status page. You are responsible for your Content and for keeping your own copies of anything you need; the Service is not a backup. When you delete Content or your Account, we remove it as described in the Privacy Policy.

12. Our intellectual property and feedback

The Service, including its software, design, documentation, and trademarks, belongs to Rekwiem or its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use it under these Terms and your Plan; nothing transfers ownership to you. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without obligation. If you believe the Service infringes your rights, write to support@uptimex.co with enough detail to identify the material and your rights.

13. Privacy

How we handle personal data is described in the Privacy Policy and the Cookie Policy, which form part of these Terms. If you put other people’s personal data into the Service (for example, Member email addresses), you confirm you may do so.

14. Availability, accuracy, and support

We work to keep the Service reliable, but we do not promise it will be uninterrupted or error-free, or that every check, alert, or notification will be timely or accurate. Checks depend on networks, Targets, and providers outside our control, and a check from our locations may not reflect what your users see. Do not rely on the Service as your only safeguard against downtime or data loss. We provide support by email on a commercially reasonable basis; unless we agree otherwise in writing, there is no guaranteed response time and no uptime service-level agreement. Features marked beta or preview are provided for evaluation and may change or be withdrawn without notice.

15. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. Consumer warranties that cannot be excluded by law are not excluded.

16. Limitation of liability

To the fullest extent permitted by law, UptimeX is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from the Service, including a missed, late, or inaccurate alert. Our total liability for all claims relating to the Service in any 12-month period is limited to the amount you paid us for the Service in that period, or KRW 100,000 if you paid nothing. These limits do not apply to liability for intent or gross negligence, death or personal injury, or any liability that cannot be limited under the law where you live, including mandatory consumer protections.

17. Indemnification

If you are not a consumer, you agree to defend and indemnify UptimeX against third-party claims, losses, and costs arising from your Content, your Targets, your Members, your status pages, or your breach of these Terms, except to the extent we caused them.

18. Suspension and termination

  • You may stop using the Service and delete your Account at any time from the dashboard, the app, or the “Delete your UptimeX account” page.
  • We may suspend or terminate your Account if you breach these Terms, if payment fails and is not resolved, if required by law, or if your use harms the Service or others. Where practical we give notice first and a chance to fix the problem; for serious breaches or legal requirements we may act immediately.
  • If we discontinue the Service, we will give at least 30 days’ notice and refund the unused part of any prepaid period.
  • On termination your right to use the Service ends and your Content is deleted as described in the Privacy Policy. Fees already due remain payable; refunds follow the Refund Policy and applicable law.
  • Provisions that by their nature should survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law) survive termination.

19. Changes to the Service and these Terms

We may change the Service and these Terms. For a change that is unfavourable to you (such as new fees, reduced Plan limits, or narrower rights) we give at least 30 days’ notice by email and in the dashboard before it takes effect; other changes take effect 7 days after we post them. If you do not accept a change, cancel before it takes effect; continuing to use the Service after that date means you accept it. Changes required by law or to address security may take effect immediately with notice.

20. Notices

We send notices to the email address on your Account and may also post them in the dashboard; they take effect when sent or posted. Keep your email current. Send notices to us at support@uptimex.co.

21. Governing law and disputes

These Terms are governed by the laws of the Republic of Korea. Disputes are subject to the jurisdiction of the Korean courts under the Civil Procedure Act. If you are a consumer, you also keep the protection of the mandatory consumer laws, and the right to bring claims in the courts, of the country where you live. Consumers in Korea may apply to the Korea Consumer Agency (kca.go.kr, 1372) or the Consumer Dispute Settlement Commission for mediation; consumers in the EU may use the European Commission’s online dispute resolution platform. We try to resolve every dispute informally first; write to support@uptimex.co.

22. General

  • These Terms, with the Privacy Policy, Refund Policy, Cookie Policy, and the pricing page, are the entire agreement between you and us about the Service.
  • If a provision is unenforceable, the rest remains in effect and the provision is applied to the extent permitted.
  • A delay in enforcing a right is not a waiver of it.
  • You may not transfer these Terms without our consent; we may transfer them to a successor of the Service with notice to you.
  • Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.
  • The English text of these Terms governs; translations are for convenience.
